This includes advising on the optimum legal and tax structure of a proposed transaction; conducting legal due diligence on all aspects of the target; putting in place the necessary legal framework and documentation; ensuring completion on schedule; and assisting clients in the planning and implementation of post-completion group restructuring. Venture Capital: We act for and advise investors, management companies and investee companies in relation to venture capital, debt and other private equity fund raising across all industry sectors. Joint Ventures: We act for local as well as foreign individuals, companies and businesses to establish joint ventures and collaborative relationships. This includes advising on the optimum tax and corporate structure for the proposed joint venture or collaboration, and providing continuing legal support to the joint venture or collaborative business. Commerce: We assist clients to attain their commercial objectives by advising on and putting in place appropriate legal structures and documentation for their businesses or for particular transactions. The subject areas are diverse and include international trade, trade financing, distributorships, franchises, sale and purchase of goods and services, clinical test trials, advertising and promotional activities, direct selling activities, publications, construction and engineering contracts, supply of utilities, hotel management and resort development. We also advise on various import and export related laws and regulations, such as customs regulations, licensing and permit regulations (including those relating to controlled items and strategic goods), product and labelling laws and other aspects of consumer liability. Investment Funds: We have advised on the structuring and establishment of investment funds, such as hedge funds including tax related issues. We also advise on the establishment and licensing of investment/financial managers or advisers and related regulatory compliance issues. Tax: In assisting clients to structure their corporate and commercial transactions in a tax-efficient manner, we also advise on personal and corporate taxation under the Singapore tax regime, including goods and services tax, determination of tax residence, taxation and availability of favourable treatment and exemptions from Singapore tax in relation to foreign investments in Singapore and in relation to corporate restructurings, sales and purchases of assets and businesses, share acquisitions and transfers, joint ventures, e-commerce and employee share plans. Employee Share Schemes: We act for and advise local and international companies in relation to the establishment of employee stock option plans and other share or award schemes. CitiLegal LLC was the author of the Singapore chapter of the book "International Stock Plans: The Practitioner’s Guide To Exporting Employee Equity" (Aspen Publishers, Inc.), and continues to contribute updates thereto. Corporate Secretarial and related services: We attend to all matters relating to the incorporation of companies in Singapore, registration of businesses, foreign corporations and representative offices in Singapore, and ensuring continuing compliance with statutory and filing obligations under the Companies Act, the Business Registration Act and related regulations. We currently perform corporate secretarial duties for more than 120 companies in Singapore. Corporate Governance and Compliance: We advise and assist clients in respect of corporate governance and compliance with the continuing listing requirements of the Singapore Exchange and the requirements under the Code of Corporate Governance. This includes advising clients on the requirements relating to significant transactions and proposals, and assisting them in the implementation of codes of corporate governance, drafting of members' circulars and public announcements, and liaising with the Singapore Exchange in respect of matters requiring its approval.
